1. Agreement to Terms
By accessing or using Quarics Automation's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services Description
Quarics Automation provides custom automation solutions including but not limited to:
- Workflow automation design and implementation
- Integration of various software applications and APIs
- Process optimization through automation technologies
- Ongoing automation maintenance and support
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for project execution
- Grant necessary access to systems and tools required for automation development
- Respond promptly to requests for information or decisions
- Adhere to agreed-upon timelines for feedback and review cycles
4. Service Packages
The "Process Fixer" (One-Time Build)
This service includes a complete automation solution delivered as a one-time project. The scope, timeline, and cost will be defined in a separate project agreement.
Your Fractional Automation Officer
This ongoing service provides regular automation support and development. The specific terms, including hours allocated and responsibilities, will be outlined in a separate retainer agreement.
5. Payment Terms
Payment terms will be specified in individual project or retainer agreements. Generally:
- One-time projects may require a deposit before work begins
- Retainer services are typically billed monthly in advance
- All invoices are due within 15 days of issuance
6. Intellectual Property
Upon full payment, clients own the specific automation solutions created for them. Quarics Automation retains the right to:
- Use general knowledge and expertise gained during projects
- Reuse generic code patterns and approaches across different projects
- Showcase projects in our portfolio (subject to confidentiality agreements)
7. Confidentiality
Quarics Automation agrees to keep confidential all proprietary information shared by clients. We will not disclose any confidential information to third parties without prior written consent.
8. Limitation of Liability
Quarics Automation's total liability for any claim arising from our services is limited to the amount paid by the client for those specific services. We are not liable for:
- Indirect, special, or consequential damages
- Loss of profits or revenue
- Business interruption
- Data loss unrelated to our direct actions
9. Service Availability
While we strive to provide uninterrupted service, Quarics Automation cannot guarantee that services will always be available or uninterrupted. We may need to suspend access for maintenance, updates, or other reasons.
10. Changes to Terms
We may update these Terms of Service from time to time. Continued use of our services after changes constitutes acceptance of the modified terms.
11. Termination
Either party may terminate services with written notice. Specific termination procedures will be outlined in individual service agreements.
12. Governing Law
These Terms of Service are governed by the laws of Argentina. Any disputes will be subject to the exclusive jurisdiction of the courts of Argentina.
